Non-Disclosure and Data Protection Agreement

This Agreement is made between The Advocate Metrics Insights Pte. Ltd. and each survey Participant.

NON-DISCLOSURE AND DATA PROTECTION AGREEMENT

This Non-Disclosure and Data Protection Agreement ("Agreement") is made between:

The Advocate Metrics Insights Pte. Ltd. (UEN: 202443908D), a company incorporated in Singapore with its registered office at 60 Paya Lebar Road #07-54 Paya Lebar Square Singapore 409051 ("Company")

and

The survey participant ("Participant") who confirms their agreement by submitting their survey response.

PREAMBLE: ANONYMITY GUARANTEE

This survey is fully anonymous. The Company does not collect, store, or process any personal identifying information. No name, email address, IP address, device fingerprint, browser identifier, cookie, or any other technical marker capable of identifying the Participant is captured at any stage of the survey process. The Company has deliberately designed its systems so that it is technically impossible to trace any individual response back to any individual person.

The Participant is not required to identify themselves at any point — before, during, or after completing the survey. The only information collected is the Participant's voluntary answers to the survey questions, which include broad categorical demographic data (firm size, practice area, and years of call) and, optionally, the name of the Participant's firm. No combination of these categorical responses is used or capable of being used by the Company to identify any individual Participant.

1. DEFINITIONS

1.1 "Survey Data" means:

(a) the Participant's individual survey responses;

(b) the categorical demographic selections made by the Participant (firm size, practice area, years of call);

(c) the firm name provided by the Participant, if any;

(d) the timestamp and duration of the survey submission.

1.2 "Confidential Information" means:

(a) individual Survey Data prior to aggregation;

(b) any information that, in combination, could reasonably identify a specific individual's employment relationship within a named firm (subject to the minimum threshold protections in Clause 2.4).

1.3 "Permitted Purpose" means:

(a) analysing legal workplace environments in Singapore;

(b) creating aggregated, anonymised industry reports and firm rankings;

(c) developing best practice recommendations for the legal profession;

(d) publishing findings in aggregate form on theadvocate.sg and associated publications.

1.4 "Aggregated Data" means Survey Data that has been combined with the responses of other Participants such that no individual response is identifiable.

2. COMPANY OBLIGATIONS

2.1 The Company shall:

(a) not collect any personal identifying information from the Participant, including but not limited to: name, email address, NRIC/FIN, phone number, IP address, device fingerprint, browser cookies, or any other technical identifier;

(b) maintain strict confidentiality of all individual Survey Data;

(c) use Survey Data solely for the Permitted Purpose;

(d) implement appropriate technical and organisational security measures to protect Survey Data from unauthorised access, disclosure, alteration, or destruction;

(e) store Survey Data on encrypted, access-controlled servers;

(f) ensure that no employee, contractor, or agent of the Company accesses individual Survey Data except where strictly necessary for the Permitted Purpose, and only subject to binding confidentiality obligations no less protective than this Agreement.

2.2 The Company may disclose Survey Data only:

(a) in Aggregated Data form;

(b) where required by law, court order, or regulatory authority (subject to Clause 2.3).

2.3 If the Company is compelled by law to disclose any Survey Data, the Company shall:

(a) disclose only the minimum information strictly required;

(b) where legally permitted, provide public notice of such compulsion on theadvocate.sg;

(c) take all reasonable steps to resist or narrow the scope of such compulsion.

2.4 Minimum Threshold Protection. The Company shall not publish or disclose any firm-level data, ranking, or finding unless that firm has received a minimum of five (5) survey responses. Where a firm has fewer than five responses, those responses shall be included only in industry-wide aggregate statistics and shall not be attributable to the named firm.

2.5 The Company shall not:

(a) attempt to re-identify any Participant through any means, including cross-referencing Survey Data with external data sources;

(b) share individual Survey Data with any law firm, employer, or third party;

(c) use Survey Data for any commercial purpose other than the Permitted Purpose;

(d) sell, licence, or transfer individual Survey Data to any third party.

3. PARTICIPANT ACKNOWLEDGEMENTS

3.1 The Participant acknowledges that:

(a) their participation is entirely voluntary;

(b) they are not required to provide their name, email, or any identifying information;

(c) the firm name field is optional, and providing it does not compromise their personal anonymity because the Company does not possess any means of linking a firm name to a specific individual;

(d) the Company cannot identify the Participant and therefore cannot, even if requested, retrieve, modify, or delete a specific individual's response after submission;

(e) their responses will be combined with those of other participants and may be published in aggregate form.

3.2 The Participant agrees:

(a) not to disclose or publish the Company's proprietary survey methodology, question design, scoring algorithms, or aggregation techniques;

(b) not to disclose preliminary, unpublished, or embargoed results that the Participant may become aware of through any means;

(c) not to submit false, misleading, or fabricated responses with the intent to manipulate firm rankings or industry findings;

(d) not to submit multiple responses for the same survey period with the intent to distort results.

4. EXCLUSIONS

4.1 This Agreement does not restrict information that:

(a) is or becomes publicly available through no fault of the Company;

(b) is independently developed by the Company without use of Confidential Information;

(c) is required to be disclosed by law (subject to Clause 2.3);

(d) has been published by the Company in Aggregated Data form in accordance with this Agreement.

4.2 Nothing in this Agreement prevents the Participant from:

(a) discussing their own workplace experiences in general terms, provided they do not disclose the Company's proprietary methodology or unpublished results;

(b) participating in other surveys or providing feedback to other organisations;

(c) exercising any rights under applicable law, including whistleblower protections.

5. DATA INTEGRITY AND FRAUD PREVENTION

5.1 The Company reserves the right to:

(a) apply statistical methods to detect and exclude responses that exhibit patterns consistent with fabrication, manipulation, or automated submission (including but not limited to: identical answers across all questions, completion times below a reasonable minimum, or internally contradictory responses);

(b) exclude such responses from published findings without notice;

(c) pursue remedies under Clause 7 against any person who submits fraudulent responses with the intent to manipulate firm rankings.

5.2 The Company shall not use fraud detection methods as a means of identifying individual Participants. Any exclusion of responses under this Clause shall be based solely on the content and statistical properties of the response itself.

6. TERM AND TERMINATION

6.1 This Agreement commences upon the Participant's survey submission and continues indefinitely.

6.2 The confidentiality and data protection obligations of the Company survive the termination of this Agreement and continue for as long as the Company retains any Survey Data.

6.3 The Company shall retain Survey Data only for as long as reasonably necessary for the Permitted Purpose. The Company may retain Aggregated Data indefinitely.

7. REMEDIES

7.1 Both parties acknowledge that unauthorised disclosure of Confidential Information or breach of this Agreement may cause irreparable harm.

7.2 The Participant shall be entitled to immediate remedies if the Company breaches its obligations under Clause 2, including:

(a) injunctive relief;

(b) specific performance;

(c) any other available legal remedies;

(d) monetary damages, including but not limited to compensation for reputational harm.

7.3 The Company shall be entitled to immediate remedies if the Participant breaches Clause 3.2 or Clause 5, including:

(a) injunctive relief to prevent further disclosure of proprietary methodology or unpublished results;

(b) specific performance;

(c) monetary damages, including but not limited to compensation for harm to the integrity of the Company's research and published findings;

(d) the right to publicly disclose that a breach of survey integrity has occurred (without identifying the Participant, whom the Company cannot identify in any event).

7.4 These remedies:

(a) are in addition to other available legal remedies;

(b) do not require posting of security bonds;

(c) preserve all other legal rights of both parties.

8. LIMITATION OF LIABILITY

8.1 The Company's aggregate liability under this Agreement shall not exceed SGD 50,000 per Participant.

8.2 The Company shall not be liable for:

(a) any disclosure that results from the Participant voluntarily identifying themselves to third parties as having participated in the survey;

(b) any inference drawn by third parties from published Aggregated Data;

(c) any loss arising from the Participant's own breach of this Agreement;

(d) any inability to retrieve, modify, or delete a specific response, given that the system is designed to make individual identification impossible.

8.3 Self-Disclosure. If the Participant voluntarily or negligently discloses their own participation, specific responses, or any related information about their submission to any third party:

(a) such disclosure shall constitute a waiver of the Company's confidentiality obligations with respect to any information the Participant has self-disclosed;

(b) the Company shall bear no liability for any consequence arising from information the Participant has placed into the public domain;

(c) the Participant remains bound by all obligations under Clause 3.2;

(d) the Company retains all rights and remedies under this Agreement.

9. PERSONAL DATA PROTECTION ACT (PDPA) COMPLIANCE

9.1 The Company represents that this survey has been designed to fall outside the scope of the Personal Data Protection Act 2012 ("PDPA") with respect to individual Participants, because:

(a) no personal data (as defined under the PDPA) is collected from or about the Participant;

(b) the Survey Data, in isolation or in combination, cannot be used to identify any natural person;

(c) the Company does not possess any key, index, or external dataset that could be used to link Survey Data to any identified or identifiable individual.

9.2 Notwithstanding Clause 9.1, the Company voluntarily commits to applying data protection principles consistent with the PDPA, including purpose limitation, data minimisation, and reasonable security measures, as a matter of best practice.

9.3 If a Participant optionally provides a firm name, the Company acknowledges that this constitutes information about an organisation, not personal data about the Participant, and shall treat it accordingly.

10. GOVERNING LAW AND JURISDICTION

10.1 This Agreement is governed by the laws of the Republic of Singapore.

10.2 Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.

11. ENTIRE AGREEMENT

11.1 This Agreement constitutes the entire understanding between the parties regarding the collection, protection, and use of Survey Data.

11.2 No amendment to this Agreement shall be effective unless published on theadvocate.sg/SurveyNDA. Any material amendment shall apply only to surveys submitted after the date of publication of the amendment.

12. ACCEPTANCE

12.1 The Participant agrees to be bound by this Agreement by submitting their survey response.

12.2 The Participant confirms that they have read and understood this Agreement, including the Preamble, before submission.

Note: This Agreement takes effect automatically upon survey submission. No physical signature is required from the Participant. The Company cannot identify the Participant and therefore this Agreement operates as a unilateral binding commitment by the Company to all Participants collectively.
