Our NDA with Participants
NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement ("Agreement") is made between:
The Advocate Metrics Insights Pte. Ltd. (UEN: 202443908D, a company incorporated in Singapore with its registered office at 60 Paya Lebar Road #07-54 Paya Lebar Square Singapore 409051 ("Company")
and
The survey participant ("Participant") who confirms their agreement by submitting their survey response and verification email.
1. DEFINITIONS
1.1 "Confidential Information" means: (a) the Participant's identity; (b) individual survey responses; (c) any information that could identify the Participant's employment relationship; (d) verification details provided by the Participant.
1.2 "Permitted Purpose" means: (a) analyzing legal workplace environments; (b) creating aggregated, anonymized industry reports; (c) developing best practice recommendations.
2. OBLIGATIONS
2.1 The Company shall: (a) maintain strict confidentiality of all Confidential Information; (b) use Confidential Information solely for the Permitted Purpose; (c) implement appropriate security measures to protect Confidential Information; (d) ensure compliance with the Personal Data Protection Act 2012 (PDPA).
2.2 The Company may disclose Confidential Information only: (a) in aggregated, anonymized form; (b) where required by law, court order, or regulatory authority.
3. EXCLUSIONS
3.1 This Agreement does not restrict information that: (a) is or becomes publicly available through no fault of the Company; (b) is independently developed by the Company without use of Confidential Information; (c) is required to be disclosed by law (subject to Clause 2.2).
4. TERM AND TERMINATION
4.1 This Agreement commences upon the Participant's survey submission and continues indefinitely.
4.2 The confidentiality obligations survive the termination of this Agreement.
5. GOVERNING LAW AND JURISDICTION
5.1 This Agreement is governed by Singapore law.
5.2 Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Singapore courts.
6. REMEDIES
6.1 Both parties acknowledge that unauthorized disclosure of Confidential Information may cause irreparable harm to either party.
6.2 The Participant shall be entitled to immediate remedies if the Company breaches confidentiality regarding: (a) individual survey responses; (b) personal identifying information; (c) employment relationship details; including: (i) injunctive relief; (ii) specific performance; (iii) any other available legal remedies.
6.3 The Company shall be entitled to immediate remedies if the Participant breaches confidentiality regarding: (a) survey methodology; (b) aggregation techniques; (c) preliminary or unpublished results; including similar remedies as in 6.2.
6.4 These remedies: (a) are in addition to other available legal remedies; (b) do not require posting of security bonds; (c) preserve all other legal rights of both parties.
6.5 Both parties may seek monetary damages in addition to above remedies.
6.6 Self-Breach and Company Protection:
(a) If the Participant voluntarily or negligently disclose their own participation, responses, or any related information about their submission:
(i) such disclosure shall constitute a waiver of confidentiality protection;
(ii) the Company shall be immediately released from all confidentiality obligations regarding that Participant's information;
(iii) the Company shall bear no liability for subsequent disclosures of information the Participant has self-disclosed;
(iv) the Participant remains bound by all obligations under this Agreement;
(v) the Company retains all rights and remedies under this Agreement;
(b) The Participant's self-breach does not:
(i) authorize disclosure of other participants' information;
(ii) release the Participant from their confidentiality obligations;
(iii) affect the Company's rights to pursue remedies under clause 6.2.
7. ENTIRE AGREEMENT
7.1 This Agreement constitutes the entire understanding between the parties regarding the protection of Confidential Information.
8. ACCEPTANCE
8.1 The Participant agrees to be bound by this Agreement by submitting their survey response and verification Identifier.

Note: This NDA takes effect automatically upon survey submission and verification email receipt. No physical signature is required from the Participant.
